INFORMATION ON EDCUTAH’s COMPUTER SYSTEMS IS MADE AVAILABLE AS A PUBLIC SERVICE, WITHOUT EXPRESS OR IMPLIED WARRANTIES OF ANY KIND, AND IS SUBJECT TO THE FOLLOWING DISCLAIMERS:

These Terms and Conditions (“Terms”) govern your access to and use of the website operated by the Economic Development Corporation of Utah, a nonprofit membership organization exempt under Section 501(c)(6) of the Internal Revenue Code (“EDCUtah,” “we,” “us,” or “our”). By visiting this site, submitting a form, or downloading any resource from it, you agree to these Terms. If you do not agree, please discontinue use of the site.

1. Acceptance of Terms

By accessing or using this website, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference. These Terms apply to all visitors, including site selectors, business partners, members, government and community stakeholders, job seekers, and members of the public.

If you are using the site on behalf of a company, agency, or other organization, you represent that you have the authority to bind that organization to these Terms.

2. About This Website

EDCUtah is a public-private partnership that promotes statewide economic development. This website provides information about EDCUtah’s programs and initiatives, economic and demographic research, news and publications, and ways to connect with our team, including:

  • General informational content about Utah’s economy, industries, and communities;
  • Reports, data, and other resources available for download;
  • Contact and inquiry forms, including site-selection and business-assistance requests; and
  • In the future, account-based access to additional tools or partner resources.

We may add, modify, or discontinue any feature or content on this site at any time without notice.

EDCUtah is affiliated with [EDCUtah Foundation name], a separate nonprofit organization exempt under Section 501(c)(3) of the Internal Revenue Code (the “Foundation”), which supports certain research and educational initiatives. Content produced by the Foundation will be identified as such where it appears on this site. Except where expressly stated otherwise, these Terms are entered into between you and EDCUtah, and references to “EDCUtah” in these Terms do not include the Foundation.

3. Use of This Website

You agree to use this website only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use of, this site by anyone else. Prohibited activities include, without limitation:

  • Attempting to gain unauthorized access to any portion of the site, other accounts, or connected systems;
  • Introducing viruses, malware, or other code intended to damage or disrupt the site;
  • Scraping, harvesting, or systematically extracting content or data except where we expressly permit it;
  • Submitting false, misleading, or fraudulent information through any form on the site; and
  • Using the site to transmit unsolicited advertising, spam, or unlawful content.

We reserve the right to restrict or terminate your access to the site for any conduct that we believe violates these Terms or applicable law.

4. Intellectual Property

Unless otherwise noted, all content on this website — including text, research, reports, data visualizations, graphics, logos, and the EDCUtah name and marks — is owned by or licensed to EDCUtah (or, where identified as such, the Foundation) and is protected by copyright, trademark, and other intellectual property laws.

You may view, download, and share content from this site for personal, informational, or non-commercial reference purposes, provided you do not alter it and you retain all attribution. Any other use — including reproduction, redistribution, or commercial use of EDCUtah research or data — requires our prior written permission.

5. Forms & Submissions

When you submit information through a contact, inquiry, or site-selection form on this site, you agree that the information you provide is accurate and that you are authorized to share it. We use submitted information to respond to your request and for the purposes described in our Privacy Policy.

Please do not submit confidential or proprietary business information through a public web form unless a member of our team has directed you to do so through a secure channel.

6. Accuracy of Information and Risks

EDCUtah works to keep the economic, demographic, and other data on this site current and reliable, and much of it draws on third-party sources such as government agencies and research partners. However, this content is provided “as is” and “as available,” without warranty of any kind as to accuracy, completeness, or timeliness.

Due to factors beyond the control of EDCUtag, however, we cannot guarantee against unauthorized modifications of information or errors made in inputting and posting data.

Nothing on this site constitutes financial, legal, tax, or investment advice, and it should not be relied upon as the sole basis for a business, investment, or relocation decision. We recommend independently verifying any data that is material to your decision and consulting qualified professionals as needed.

One who uses the information available for public use on EDCUtah’s digital platforms assumes the risk of using or relying on such information. Neither EDCUtah and its officers, employees, and affiliates shall be liable for any damages, including indirect, special, incidental, or consequential damages a user incurs as a result of viewing, distributing, or copying materials on the sites made available to the public, even if advised of the possibility of such damages.

7. Third-Party Links

This site may link to websites operated by member companies, government agencies, partners, or other third parties for your convenience. We do not control and are not responsible for the content, accuracy, or privacy practices of any linked site. Inclusion of a link does not imply endorsement by EDCUtah. We encourage you to review the terms and privacy policy of any third-party site you visit.

8. Accounts & Portals

Portions of this site may in the future require you to register for an account to access additional tools or resources. When account access becomes available, you will be responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, and you agree to notify us promptly of any unauthorized use. Additional account-specific terms may apply at that time and will be presented to you during registration.

9. Disclaimer of Warranties

This website and all content, tools, and services made available on it are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the site will be uninterrupted, secure, or error-free, or that any defects will be corrected.

10. Limitation of Liability

To the fullest extent permitted by law, EDCUtah and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or business opportunity, arising out of or related to your use of, or inability to use, this website, even if we have been advised of the possibility of such damages. Our total liability for any claim arising from your use of this site will not exceed one hundred dollars ($100).

Some jurisdictions do not allow certain limitations on liability, so some of the limitations above may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless EDCUtah and its officers, employees, and affiliates from any claims, damages, losses, or expenses, including reasonable attorneys’ fees, arising out of your violation of these Terms, your misuse of this website, or your violation of any rights of a third party.

12. Privacy

Our collection and use of personal information submitted through this site is described in our Privacy Policy, which forms part of these Terms. Please review it to understand our practices.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes to the site or applicable law. The “Effective” date at the top of this page indicates when these Terms were last revised. Material changes will be reflected on this page, and your continued use of the site after an update constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws principles. You agree that any dispute arising from these Terms or your use of this site will be brought exclusively in the state or federal courts located in Salt Lake County, Utah, and you consent to the jurisdiction of those courts.

15. Termination

We may suspend or terminate your access to all or part of this website at any time, with or without notice, for any reason, including a violation of these Terms. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will continue to apply.

16. Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. These Terms, together with our Privacy Policy, constitute the entire agreement between you and EDCUtah regarding your use of this website.
